Terms of Service

By accessing, downloading, installing, or using MageCopilot ("the Module", "the Software", "the Service"), you ("the User", "the Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use MageCopilot.

These Terms apply to all editions: Community, Pro, and Enterprise.

1. Description of Service

MageCopilot is a Magento 2 / Adobe Commerce module that integrates AI-based assistance into your store's admin panel. It provides features including system monitoring, chat-based queries, automated CLI execution, workflow automation, cache management, and business intelligence reporting. The module connects to third-party AI providers (OpenAI, Anthropic, Google Gemini, Vertex AI, Azure OpenAI, and/or a local Ollama instance) to generate responses.

2. Eligibility & Account

You must be at least 18 years old and have legal authority to enter into contracts on behalf of your organization to use the Pro or Enterprise editions. By subscribing, you represent and warrant that you meet these requirements.

3. Third-Party AI Provider Responsibility

MageCopilot requires you to supply your own API credentials for the AI provider(s) you choose to configure. You are solely responsible for:

  • Creating and managing your API accounts with third-party providers.
  • All costs and usage fees charged by those providers.
  • Compliance with the terms of service of each AI provider you connect.
  • Keeping your API keys secure and confidential.

MageCopilot is not affiliated with, endorsed by, or responsible for any third-party AI provider.

4. Command Execution & Automated Actions

MageCopilot can execute CLI commands, modify configurations, flush caches, and trigger automated workflows on your Magento installation. You acknowledge and agree that:

  • All automated actions are executed under your explicit configuration, supervision, and responsibility.
  • You must review and understand any Workflow or Auto-Response rule before enabling it.
  • MageCopilot includes safety confirmations and rollback mechanisms, but these do not guarantee that adverse outcomes will never occur.
  • You assume full responsibility for any data loss, service interruption, or misconfiguration resulting from automated execution.

5. Acceptable Use

You agree not to use MageCopilot to:

  • Circumvent security controls on any system you do not own or have explicit authorization to access.
  • Generate, transmit, or store illegal, fraudulent, or harmful content.
  • Violate any applicable local, national, or international law or regulation.
  • Reverse-engineer, decompile, or attempt to extract the source code of the proprietary portions of the module.

6. Limitation of Liability

To the fullest extent permitted by applicable law, MageCopilot and its developers, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or goodwill — arising from:

  • Your use or inability to use the Software.
  • Unauthorized access to or alteration of your data.
  • Errors, omissions, or inaccuracies in AI-generated responses.
  • Service interruptions on Adobe Commerce Cloud or any hosting environment.
  • Actions taken by automated features such as Workflows or Auto-Response rules.

In no event shall MageCopilot's total aggregate liability exceed the amount you paid for the subscription in the three (3) months preceding the claim.

7. Disclaimer of Warranties

The Software is provided "as is" and "as available", without warranty of any kind — express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. MageCopilot does not warrant that the Software will be error-free, that defects will be corrected, or that the Software is free from viruses or other harmful components.

8. Technical Support

Community edition is provided without warranty or guaranteed support.

Pro and Enterprise editions receive support via support@magecopilot.com. Support covers the operation of the MageCopilot module itself and does not include:

  • Native Magento 2 / Adobe Commerce bugs or issues.
  • Third-party theme or extension conflicts.
  • Server, hosting, or infrastructure configuration.
  • Issues caused by unauthorized modifications to the module's core code.

9. License Agreement

9.1 Proprietary Nature

MageCopilot is not open-source software. All rights, intellectual property, and source code are exclusively owned by MageCopilot. No open-source license (GPL, MIT, Apache, etc.) applies to the Pro or Enterprise editions.

9.2 Grant of License

Subject to payment of the applicable subscription fee and compliance with these Terms, MageCopilot grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on a single production Magento instance (or the number of instances specified in your plan). The Community edition may be used at no cost on any number of installations.

9.3 Restrictions

You may not:

  • Copy, reproduce, distribute, or share the Software or its license keys.
  • Resell, rent, lease, sublicense, or transfer the Software or your subscription to any third party.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
  • Use the Software to build a competing product.

9.4 Modifications

Modifying the module's core codebase voids any warranty and forfeits the right to official technical support. Limited template / layout customizations that do not alter core PHP or JavaScript logic are permitted.

9.5 License Revocation

MageCopilot reserves the right to revoke Pro or Enterprise license keys upon detection of a material breach of this Agreement, fraudulent activity, or unauthorized distribution or use of the Software.

10. Subscriptions, Billing & Auto-Renewal

Pro and Enterprise editions are sold as monthly or annual subscriptions.

  • Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
  • You will be charged the applicable subscription fee at the start of each billing period using your stored payment method.
  • Price changes will be communicated at least 30 days in advance via email.
  • All prices are in USD and exclusive of applicable taxes, which are your responsibility.

11. Refund & Cancellation Policy

We offer a 14-day money-back guarantee for new Pro and Enterprise subscriptions. If you are not satisfied for any reason, contact support@magecopilot.com within 14 days of your initial purchase and we will issue a full refund.

After the 14-day period:

  • No refunds will be issued for partial billing periods.
  • You may cancel at any time; access will continue until the end of the current billing period.
  • Refunds will not be provided for accounts suspended or terminated due to a violation of these Terms.

12. Intellectual Property

All content, code, branding, and materials related to MageCopilot — including but not limited to the MageCopilot name, logo, module source code, documentation, and website — are the exclusive property of MageCopilot and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Argentina, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the use of MageCopilot shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of the city of Buenos Aires, Argentina.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify active subscribers of material changes via email at least 14 days before the change takes effect. Continued use of the Software after changes take effect constitutes acceptance of the updated Terms.
