Terms of Service

By downloading, installing, configuring, or using MageCopilot ("the Module", "the Software", "the Service"), you ("the Merchant", "the User", "the Customer") agree to be bound by these Terms of Service ("Terms"). If you do not accept these Terms in full, do not install or use MageCopilot.

These Terms apply to all software editions: Community Edition, Pro Edition, and Enterprise Edition.

1. Description of Software

MageCopilot is a self-hosted extension for Magento Open Source and Adobe Commerce (including Adobe Commerce Cloud) that embeds AI-assisted operational monitoring, natural language processing, dynamic reporting, workflow automation, and admin control capabilities directly into the Magento Admin panel.

2. Eligibility and Authority

You represent and warrant that you are at least 18 years of age and possess full legal authority to bind yourself or the legal entity on whose behalf you are installing and operating the Software.

3. Third-Party AI Provider Credentials and Charges

MageCopilot connects to external third-party Artificial Intelligence providers (including Google Gemini, OpenAI, Anthropic, Google Vertex AI, Azure OpenAI) or local engines (Ollama). You are solely responsible for:

  • Obtaining, configuring, and securing your own API keys or endpoint connections.
  • All API usage fees, token costs, and billing incurred with third-party AI providers.
  • Complying with the terms of service, acceptable use policies, and privacy terms of each connected provider.

MageCopilot has no control over third-party AI service availability, API rate limits, model deprecations, or pricing changes imposed by external AI vendors.

4. Automated Actions, Workflows, and Command Execution

MageCopilot includes features capable of executing CLI commands, flushing cache storages, triggering automated workflows, running auto-healing playbooks, updating CMS content, and managing store settings. You acknowledge and agree that:

  • All automated triggers, rules, playbooks, and commands execute under your sole direction, configuration, and authorization.
  • You must thoroughly inspect and verify all automated workflows, planning mode proposals, and auto-healing playbooks prior to enabling or approving them in a production environment.
  • Safety checks, confirmation prompts, and dry-run previews within the Software are provided as operational tools and do not guarantee the prevention of unintended store changes.
  • You assume 100% full legal and operational responsibility for any database modification, file change, indexer failure, store downtime, catalog alteration, or revenue impact resulting from manual or automated execution.

5. AI Output Accuracy and Hallucination Disclaimer

Artificial Intelligence models are probabilistic and capable of generating inaccurate, incomplete, or unexpected outputs ("hallucinations"). Any response, root-cause analysis, conversion recommendation, performance advice, dynamic SQL query, or code diff produced by or through MageCopilot is provided strictly for informational and operational assistance purposes.

You must independently verify all AI-generated suggestions, data reports, and proposed execution steps before acting upon them or applying them to live production stores.

6. Dynamic SQL Query Engine Disclaimer

The Enterprise dynamic SQL feature translates natural language into database queries. While the module enforces a read-only transaction sandbox (SET TRANSACTION READ ONLY) and Abstract Syntax Tree (AST) validation to reject data modification statements, you remain responsible for validating query logic and evaluating any business metrics or data exports generated by the tool.

7. Acceptable Use and Restrictions

You agree not to use MageCopilot to:

  • Attempt unauthorized access to systems, databases, or environments you do not legally own or manage.
  • Execute malicious commands, bypass security controls, or transmit unlawful content.
  • Reverse-engineer, decompile, disassemble, or attempt to derive source code from proprietary module binaries or licensing validators.
  • Share, distribute, resell, lease, or publish Pro or Enterprise license keys.
  • Modify or remove copyright notices, watermarks, or proprietary designations from the Software.
  • Use the Software or its underlying architecture to build a directly competing commercial product.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MageCopilot, its founders, developers, employees, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages - including but not limited to loss of revenue, lost profits, store downtime, data loss, database corruption, customer churn, or business interruption - arising out of or in connection with:

  • The use of or inability to use the Software.
  • Errors, inaccuracies, or omissions in AI model outputs or automated recovery actions.
  • Interruption, suspension, or termination of third-party AI provider APIs.
  • Actions taken by automated background agents, cron jobs, or auto-healing playbooks.

MageCopilot's total aggregate liability for any and all claims arising under or related to these Terms or the Software shall be strictly limited to the actual amount paid by you for the MageCopilot subscription during the three (3) calendar months immediately preceding the event giving rise to liability (or $0.00 USD for Community Edition users).

9. Disclaimer of Warranties

The Software is provided strictly "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise - including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or error-free operation. We do not warrant that the Software will meet your specific business requirements, operate without interruption, or remain compatible with unannounced future Magento core releases.

10.1 License Grant

Subject to compliance with these Terms and payment of applicable subscription fees, MageCopilot grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and execute the Software on authorized Magento instances under your direct ownership or management.

10.2 License Verification

License authenticity is validated locally via Ed25519 cryptographic key signatures. Modifying, bypassing, or tampering with license verification code is a material breach of this Agreement and automatically terminates your license.

10.3 License Revocation

We reserve the right to revoke license keys immediately upon detection of unauthorized key sharing, reverse engineering, non-payment, or breach of acceptable use terms.

11. Subscriptions, Auto-Renewal, and Refunds

Pro and Enterprise licenses are billed on a recurring monthly or annual subscription basis via our Merchant of Record (Paddle).

  • Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.
  • We offer a 14-day money-back guarantee for initial Pro and Enterprise plan purchases. Contact [email protected] within 14 days of your initial purchase to request a full refund.
  • Refund requests submitted after 14 days from initial purchase are non-refundable. Partial billing periods are not refunded upon mid-cycle cancellation.
  • You may cancel subscription auto-renewal at any time via your account dashboard or by emailing support. Upon cancellation, your license remains active until the end of the current paid billing period.

12. Technical Support Scope

Technical support is provided to active Pro and Enterprise subscribers via [email protected]. Technical support is limited to the functionality of the MageCopilot module itself and explicitly excludes:

  • Core Magento Open Source or Adobe Commerce platform bugs.
  • Third-party theme or third-party extension code conflicts.
  • Server, hosting environment, operating system, or PHP compilation issues.
  • Customizations or code changes made to the module source files.

13. Intellectual Property and Trademark Disclaimer

All intellectual property rights, source code, visual branding, logos, and documentation pertaining to MageCopilot remain the exclusive property of MageCopilot. Nothing in these Terms grants you any ownership interest in the Software.

Trademark Disclaimer: Magento and Adobe Commerce are registered trademarks of Adobe Inc. MageCopilot is an independent software extension developed for use with the Magento 2 ecosystem and has no official affiliation, sponsorship, endorsement, or partnership with Adobe Inc.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Argentina, without giving effect to conflicts of law principles. Any dispute or claim arising out of or related to these Terms or the Software shall first be submitted to informal good-faith negotiation for a period of at least thirty (30) days. If unresolved, disputes shall be submitted exclusively to the competent courts of the City of Buenos Aires, Argentina.

15. Terms Modifications

We reserve the right to modify these Terms at any time. Active subscribers will be notified of material modifications via email at least 14 days prior to implementation. Continued use of the Software after updated Terms take effect constitutes binding agreement to the revised Terms.
